Full Terms and Conditions:
- This Promotion is only open to independent retailers, merchants, that have four or less stores nationwide or internationally (“Independent Business”) in the United Kingdom (England, Scotland, Wales and Northern Ireland). Entrants must have the permission of the Independent Business to enter and must be aged 18 or over. Employees of the Promoter, their immediate families (defined as parents, children, siblings, spouse and life partners), or anyone professionally associated with this Promotion are excluded from participation.
- No purchase necessary; however, internet access and a valid Instagram or Twitter account is required.
- Promotion Period: Enter between 00:01 GMT on the 5th November 2019 and 23:59 GMT on the 1st December 2019 inclusive.
- To Enter simply follow these steps:
- Make your version of Visa’s 30 second Christmas advert to Queen’s Somebody To Love, featuring your Independent Business (“Merchant Videos”). You’ll need to sing over the original Queen version for this to be an eligible entry. This version can be found on available music licensing sites, which you may need a membership to access.
- Review and complete the form available at: www.visa.co.uk/whereyoushopmatterscompetition. This form will be required by all shortlisted entrants to prove that all required permissions and consents have been obtained for the Merchant Video to be used by the Promoter.
- Share the Merchant Video publicly using the @VisaUK handle and #WhereYouShopMatters on your Twitter and/or Instagram.
- Due to licensing restrictions, entrants are required to remove their entry from their social media account by 1st February 2020.
- Maximum of 1 entry per Independent Business is permitted during the Promotion Period. Maximum of 1 Prize per Independent Business.
- The Prize:
- Overall Winner Prize: 1 winner will have their video aired during a primetime advertising spot.
- Finalist Prizes: 4 finalists will each win a £1,000 prepaid Visa card which will be awarded to the Independent Business that has entered.
- As of the 20th November 2019, the Promoter is offering the first 50 valid entrants a £150 Visa pre-paid gift card. The first 50 entries received during the Promotion Period (based on date and time stamps) that are valid and in accordance with these Terms & Conditions will be contacted via a direct message to the social media account used on entry or email address (if known) to confirm delivery information for the fulfilment of this reward. Please allow 30 days from the date of provision of delivery in formation for fulfilment.
- Winner Selection: All valid entries received during the Promotion Period (subject to moderation) will be independently judged by PromoVeritas within 1 working day from the close of the Promotion Period (23.59 GMT 1st December 2019), to deliver a compliant long list of 20 entries based on the following criteria and all competition moderation guidelines.

- CHARM
- Winner Notification: The winners will be contacted via a direct message to the social media account used on entry within 1 working day of Winner Selection and will be required to respond to confirm eligibility and acceptance of the Prize(s), within 1 day of initial contact. In the event that a winner does not respond confirming eligibility and acceptance of their Prize within 1 day, the Promoter reserves the right to disqualify that winner. If a winner is disqualified, the Promoter reserves the right to award the Prize(s) to a reserve winner selected in the same manner. The reserve winner must respond in accordance with the above timeframes or a shorter period if notified by the Promoter. Prizes are specific to the Independent Business that win and must be claimed by the entrant.
- Moderation: The Promoter reserves the right to reject entries which, in the reasonable opinion and sole discretion of the Promoter:
- are in breach of the Terms and Conditions
- contain any content that is offensive, obscene, sexual, derogatory, defamatory, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, which could reflect negatively upon the name, reputation or goodwill of the Promoter or any brand partner, or which is otherwise unsuitable for publication;
- contains any merchant name or individuals that have not completed the waiver;
- features any individuals under the age of 18 without explicit permission from a parent or guardian;
- contains or refers to any third-party brand or reference any third-party names, logos and/or trademarks that are not owned by the Independent Business or Visa;
- promotes any political agenda;
- does not comply with relevant advertising and broadcasting codes; or
- has not obtained consent from all those featured in the entry.
- The Promoter fully respects freedom of speech, but prior to entering the Promotion, those selected as winners must not have posted, published or caused to be published by way of press, radio, television or in any social medium, any comments that are likely to discredit or damage the reputation of the Promoter, their product(s) or service(s) or be in breach of the rules of the relevant media. In addition, winners must not do so during the life of the Promotion. If, the Promoter decides that a winner has breached this condition, that winner’s entitlement to the Prize may be cancelled and a substitute winner chosen on the same basis as the original winners.
- The Promoter requires each winner and those featured in their Merchant Video to complete a Merchant Vetting Questionnaire to verify their eligibility. The Promoter reserves the right to disqualify a winner whose submission has not met the required standards.
- Provided no objection from the winners is received, the name of the winning Independent Businesses will be made available by visiting www.visa.co.uk/whereyoushopmatterscompetition one month after the close of the Promotion, for a period of 4 weeks. The winning Independent Businesses may object to their name being published during Winner Notification. Without prejudice, the Promoter will provide this information to the Advertising Standards Authority on reasonable request.
- By submitting an entry, each entrant grants to the Promoter a non-revocable, worldwide, royalty-free licence to use the copyright and other intellectual property rights vesting in their entry for all purposes connected with this Promotion, including but not limited to display on the Promoter’s website and any other website of the Promoter or its agent’s/contractor’s choosing and use of the entry, or part(s) of the entry, in any marketing materials or communications relating to this Promotion for up to one year from the end of the promotional period. Entrants hereby represent and warrant that they have all rights necessary to grant the licence and rights provided for in this paragraph and that all materials forming part of their entry to this Promotion, and any use of such materials by or on behalf of the Promoter, comply with all applicable laws, rules, and regulations and do not infringe or otherwise violate the intellectual property or other rights of any third party. For the avoidance of doubt, there is no obligation on the Promoter to use, publish or display any entries. The entrant also grants the Promoter and its affiliates, agents and representatives the right to moderate, modify or remove any part of my Merchant Video if it is deemed unsuitable (at the Promoter’s sole discretion), in whole or in part, for use in any materials or mediums relating to the Promotion. Entrants hereby waive any right to review or approve the final product to be used in relation to the Promotion.
- The Prizes are not transferable or exchangeable and cannot be redeemed for monetary value or for any other form of compensation. If for any reason any element of a Prize is not available, the Promoter reserves the right, at its sole discretion to substitute another prize for it, of equal or greater value.
- In the event that the Promotion is not capable of running as planned for reasons including but not limited to tampering, unauthorised intervention, fraud, dishonesty, technical failures, or any other causes beyond the reasonable control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Promoter reserves the right to disqualify any individual who tampers with the entry process or does not comply with these Terms & Conditions and to cancel, modify or suspend the Promotion or invalidate any affected entries.
- No responsibility can be taken for entries which are late, lost, delayed, corrupted, damaged, misdirected or incomplete, do not comply with entry criteria or which cannot be delivered for any technical, delivery or other reason. Proof of sending will not be accepted as proof of receipt. The Promoter does not guarantee continuous or secure access to Instagram or Twitter.
- This Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram or Twitter. You understand that you are providing your information to the Promoter and not to Instagram or Twitter, and those parties have no liability for any element of this Promotion.
- The Promoter together with any associated agencies and companies will not be liable for any loss (including, without limitation, indirect, special or consequential loss or loss of profits), expense or damage which is suffered or sustained (whether or not arising from any person’s negligence) in connection with this Promotion or accepting a Prize, except for any liability which cannot be excluded by law. Nothing will exclude the Promotor’s liability for death or personal injury as a result of its negligence.
- An entry must be made directly by the individual entering the Promotion. Incomplete or illegible entries and entries submitted by macros or other automated means together with entries which do not satisfy the requirements of these Terms & Conditions in full will be disqualified and will be not be counted. If it becomes apparent that a participant is using a computer(s) to circumvent this condition by, for example, the use of ‘script’, ‘brute force’, masking their identity by manipulating IP addresses, using identities other than their own or any other automated means in order to increase that participant’s entries into the Promotion in a way that is not consistent with the rules of the Promotion, that participant’s entries will be disqualified and any prize awarded will be void. In the event there are no eligible entries the Promoter reserves the right not to award any Prizes.
- Should an act, omission, event or circumstance occur which is beyond the reasonable control of the Promoter and which prevents the Promoter from complying with these Terms & Conditions the Promoter will not be liable for any failure to perform or delay in performing its obligations.
- Should an act, omission, event or circumstance occur which is beyond the reasonable control of the Promoter and which prevents the Promoter from complying with these Terms & Conditions the Promoter will not be liable for any failure to perform or delay in performing its obligations.
- The Promoter may refuse to award a Prize in the event of any entrant’s fraud, dishonesty, breach or non-entitlement under these Terms & Conditions or seek recovery of its value if the Prizes have been awarded.
- Your personal information will be processed in accordance with the Promoter’s Global Privacy Notice visit: https://cis.visa.com/legal/global-privacy-notice.html. The Promoter will only use your personal information for the administration of the Promotion and for no other purpose unless we have another lawful basis under applicable data protection legislation. The Promoter will only share your personal information with its fulfilment partners, including Grayling PR, The Social Element and PromoVeritas Ltd and guest judges for the purposes of and in order to fulfil this Promotion. The Promoter will keep personal information for no longer than is necessary for relevant purposes related to this Promotion, and in any case no longer than for one year starting the 5th November 2019.
- If any provisions of these Terms & Conditions are judged to be invalid, illegal or unenforceable, this will not affect or impact the continuation in full force and effect the remainder of the provisions.
- By entering this Promotion, all participants will be deemed to have agreed to be bound by these Terms & Conditions.
- In the event of a discrepancy between these Terms & Conditions and the details in any promotional material, the details in the Terms & Conditions will prevail.
- These Terms & Conditions are governed by English law and their interpretation and application will be subject to the exclusive jurisdiction of the courts of England and Wales.
